When is our AGM actually due — and what if we can't hold it in time?
The short answer
For an established company the AGM must happen within six months of the financial year end (30 September for a March year-end) and within fifteen months of the previous AGM — whichever is earlier bites. A first AGM gets nine months from the first year-end. If you genuinely can't make it, apply to the ROC in GNL-1 before the deadline for an extension of up to three months — the extension is discretionary and does not cover a first AGM.

Questions founders actually ask
Does an OPC hold an AGM?
No — one-member companies are exempt from AGM provisions. The OPC's filing clocks run from different trigger dates (its MGT-7A references a deemed timeline instead).
What are the grounds ROCs accept for extension?
Genuine operational impossibility — auditor resignation mid-audit, books seized, natural calamity, merger in progress. Routine unpreparedness is regularly rejected; the application must be filed before the AGM due date.
What if the AGM simply wasn't held?
Every member and officer in default faces penalties, and the missed AGM cascades: AOC-4/MGT-7 clocks have no start date, compounding the default. The rescue path runs through compounding/adjudication — expensive and avoidable.
