It's DIN KYC season — does every director need to file?
The short answer
Every DIN holder must complete KYC once in every three years, by 30 June (next 30 June 2028 if KYC is current; earlier years were annual, by 30 September) — even directors of dormant companies, even DIN holders with no current directorship. There is one form, DIR-3 KYC Web; a digital signature is needed only when updating mobile, email or address (MCA release on G.S.R. 943(E)). Miss it and the DIN is deactivated, and reactivation carries a fee (get the exact amount from your CA).

The sequence
- 1List every DIN holder connected to the company as on 31 March
- 2Sort: new/changed particulars → e-form DIR-3 KYC; unchanged → web KYC
- 3Complete OTP verification against each director's personal mobile and email
- 4File before 30 September and archive the SRNs

I'm not a director anywhere right now — do I still file?
Yes. The obligation attaches to holding a DIN, not to holding a directorship. An unused DIN still gets deactivated for missed KYC.
What happens if the deadline is missed?
The DIN is marked 'Deactivated due to non-filing of DIR-3 KYC' and reactivation carries a fee (get the exact amount from your CA). A deactivated DIN also blocks every company filing that needs that director's signature.
Foreign directors keep failing OTP — what now?
MCA runs an IVR flow for foreign directors with OTP issues; unresolved cases go through an MCA helpdesk ticket, per MCA's own advisory.
