A partner is joining or leaving our LLP — what gets filed?

The short answer

Every partner event — admission, resignation, change in particulars — goes to the ROC in LLP Form 4 within 30 days. Because partner rights live in the LLP agreement, the agreement almost always changes with them, and that amendment travels separately in Form 3 within 30 days of the change. The pair usually files together; missing Form 3 is the classic gap that surfaces years later in due diligence.

Questions founders actually ask

Do we need both Form 3 and Form 4?

Almost always. Form 4 reports the person event; Form 3 reports the agreement change that gives it effect. Filing one without the other leaves the record internally inconsistent.

How many designated partners must remain?

Every LLP needs at least two designated partners (individuals, at least one resident in India). An exit that breaks the minimum needs a replacement within the statutory window.

Does an outgoing partner stay liable?

A former partner remains liable for obligations incurred while they were a partner, and to third parties until public notice of the exit — which the Form 4 filing effects.
