Questions
Each answer names the stage of the process or the part of the register it comes from.
Buying
- What do I see before I qualify?
- A masked summary and the dated document-checks register — what was checked, by what procedure, and what is unverified. Names, exact figures and documents come after qualification.Stage 3 · Register
- What does qualification involve?
- Identity, ownership, purpose, consideration range, funding source and decision authority. Signing an NDA on its own earns nothing; unexplained third-party funding is declined.Stage 4
- Can the firm advise me on a company it listed?
- No. The firm acts for one side of a transaction only. Buyers of a firm-listed company appoint their own adviser; the firm will name member advisers who take that seat.Stage 6
- Is the asking figure a valuation?
- No. It is the seller's stated expectation. Normalised earnings and any valuation are separate work under a separate written scope.Listing · Stage 6
- Can I use the buyer pack on a company found elsewhere?
- Yes. Buyer diligence is a scoped engagement that does not depend on where the target was found; the report may recommend withdrawal.Stage 6
Selling
- Where does a sale start?
- With intake and a readiness review — not a listing. The review produces a missing-evidence register; publication waits until no decline flag is open.Stages 1–2
- What if the review finds problems?
- They go on the register as exceptions and the seller decides: fix, disclose, or withdraw. A report that recommends withdrawal is a normal outcome.Stage 2
- Who sees the company name?
- Nobody, until the seller approves disclosure to a qualified buyer. The masked summary passes a re-identification review before it is published.Stage 3 · Stage 5
- How long is a listing current?
- The seller reconfirms availability monthly; register rows carry expiry dates and lose current status when they lapse. One canonical listing per company.Register · Stage 3
- Can I list here and elsewhere?
- Yes. Listings are non-exclusive. The register travels with the company; a buyer who found it elsewhere can still check it here.Stage 3
Confidentiality and the register
- What does a "Checked" row mean?
- One claim, the evidence examined, the procedure, the finding, the reviewer's role and the date. It says nothing about the company as a whole.Register
- Is a listing ever "verified"?
- No company is labelled verified, clean or approved. The word only ever attaches to a single fact with its method and date.Register
- What is never checked or promised?
- That a company has no undisclosed liabilities; tender, licence or bank eligibility; continuity of accounts, contracts or staff; any return or outcome. What is never promised
- Who commissions the checks?
- The seller, under a written scope. The caption on every register says so and states how many items remain unverified.Register caption
- What happens to my data?
- Intake answers are held by the firm as a PMLA reporting entity: identity and beneficial-ownership records are kept for the statutory period and never published.Stage 1 · Stage 4
Diligence and transfer
- How is disclosure staged?
- Under NDA, in stages the seller controls, from a data-room index to documents. Access is logged and stops if the buyer's qualification lapses.Stage 5
- What does diligence cover?
- Ownership and authority, liabilities and disputes, financials, tax, contracts and people, funds and closing — the six categories in the checklist.Stage 6 · Checklist
- Which filings does a share transfer need?
- SH-4 for the transfer itself; DIR-12 and INC-22 only where directors or the registered office change. Counsel for each side decides the route.Stage 7
- Who drafts the agreement?
- Counsel for each side. The firm supplies the conditions-precedent list and closing checklist; it does not act for both sides.Stage 7
- What if a finding is inconvenient?
- It stays in the report. Any pressure to suppress a finding ends the engagement.Stage 6
Closing and aftercare
- Who holds the money?
- The parties or their appointed escrow provider. The firm never holds or routes consideration.Stage 8
- What is the tax position on the sale?
- Depends on holding period, the consideration against fair market value, and the buyer's side of the same test. The sale-or-closure guide walks through the sections.Sale or closure guide
- What happens after closing?
- A 90-day handover with day 7, 30 and 90 reviews — under a separate written appointment if the buyer engages the firm.Stage 9
- Does the firm continue as the company's adviser?
- Only under a new, separate scope. Nothing about the sale implies continuation.Stage 9
- What if the deal falls through?
- Conditions precedent unmet means no closing. Disclosure logs are retained; the listing returns to current status only after the seller reconfirms.Stage 7 · Stage 3
