Sell your business in India: preparation and process
Most sales stall on missing records, not on price. The order that works: a readiness assessment first, a private professional appointment, reviewed evidence, and only then — if you choose — a masked listing.
Who this is for
- Businesses
- Owner-operated service and software businesses with operating records
- Size
- Roughly ₹25 lakh to ₹2 crore of annual revenue, three or more years of audited accounts
- Outside the first launch
- Dormant or shell companies, and foreign buyers, are outside the first launch
Confidentiality
Your company is never named on a public page. A listing, if you choose one later, is a masked summary that you approve, checked against re-identification before it is shown, and disclosed in stages to buyers who have completed identity checks and signed an undertaking. Access to documents is logged.
Records a buyer will ask for
- Certificate of incorporation, MOA and AOA, and the current shareholding with authority to sell
- Annual returns and financial statements as filed (MGT-7/7A, AOC-4) for the last three years
- GST registrations, returns and reconciliations; income-tax returns and assessment status
- Bank statements, charges register, loans and guarantees
- Employee records, PF/ESI status, key contracts and licences
- Litigation, notices and disputes — open and closed
The readiness review examines these and issues a missing-evidence register — what exists, what is missing, what is inconsistent — before anyone outside sees anything.
The nine stages, briefly
- 1. Seller intake and acceptance
- 2. Readiness review
- 3. Masked publication
- 4. Buyer qualification
- 5. Disclosure under NDA and non-binding indication
- 6. Offer and diligence
- 7. Documentation and conditions
- 8. Payment and closing
- 9. 90-day handover
Request a sale-readiness assessment
A documented assessment of whether the company is ready to sell, and what would need to change first. It is a professional engagement under written terms; the scope and the fee are confirmed in writing before any work begins, and nothing is published at any point.
Ask the firm → · The seller intake is being rebuilt to end at “submitted for readiness review”; until then, use the contact route.
