How it works
A confidential route to explore buying or selling an existing private company. Listings state what was checked, what is unverified, and which documents exist after qualification. Advisers are appointed under separate written scopes; the firm acts for one side only, and the other side has its own independent adviser.
What is checked, and what is never promised
Document checks cover
- Identity and authority of the people selling
- Existence and status of the company on the public registers
- The specific records the seller commissioned checks on — each one listed in the register with the procedure performed and the finding
Never promised
- That a company is free of undisclosed liabilities
- Eligibility for tenders, licences or bank facilities
- Continuity of bank accounts, contracts or staff
- Any return, valuation or outcome
The nine stages
Team-controlled time is what the firm commits to. External time is the bank, the registrar, counsel or the other side, and is stated so it is never mistaken for ours.
- 01
Seller intake and acceptance
- Responsible
- Seller; firm reviews
- Documents
- Authority to sell, identity, register extracts, self-declarations on liabilities and disputes
- Team-controlled time
- 2 working days
- External time
- None
Refusal gate: False documents, concealed ownership, nominee control, eligibility evasion or an FDI bypass: declined, with the reason recorded
- 02
Readiness review
- Responsible
- Firm, under a written scope
- Documents
- ROC filings, GST, income-tax, bank, charges, litigation — the records the seller commissions checks on
- Team-controlled time
- 5–10 working days
- External time
- Depends on record availability
Refusal gate: A missing-evidence register is issued; nothing proceeds to publication while a decline flag is open
- 03
Masked publication
- Responsible
- Seller approves the masking; firm publishes
- Documents
- Masked summary, the dated register, a re-identification review
- Team-controlled time
- 2 working days
- External time
- None
Refusal gate: Publication only after FIU-IND registration and a passed re-identification review
- 04
Buyer qualification
- Responsible
- Buyer; firm reviews
- Documents
- Identity, ownership, purpose, funding source, decision authority
- Team-controlled time
- 2 working days
- External time
- Buyer response time
Refusal gate: An NDA alone earns nothing; unexplained third-party funding or a sanctions hit is declined
- 05
Disclosure under NDA and non-binding indication
- Responsible
- Seller controls staged disclosure
- Documents
- Data room index, staged documents, indication of interest
- Team-controlled time
- 3 working days per stage
- External time
- Buyer diligence pace
Refusal gate: Access is logged; disclosure stops if the buyer's qualification lapses
- 06
Offer and diligence
- Responsible
- Buyer's own adviser; the firm does not act for both sides
- Documents
- Scoped diligence report, exceptions, representations sought
- Team-controlled time
- Scoped
- External time
- Buyer adviser
Refusal gate: Any pressure to suppress a finding ends the engagement
- 07
Documentation and conditions
- Responsible
- Counsel for each side
- Documents
- Share purchase agreement, conditions precedent, closing checklist, SH-4 / DIR-12 / INC-22 only where applicable
- Team-controlled time
- 5 working days
- External time
- Counsel and registrar
Refusal gate: Conditions precedent unmet: no closing
- 08
Payment and closing
- Responsible
- The parties and their escrow provider
- Documents
- Escrow instructions, transfer instruments, registrar filings
- Team-controlled time
- 2 working days
- External time
- Bank and registrar
Refusal gate: The firm never holds or routes consideration
- 09
90-day handover
- Responsible
- Buyer, with the firm under a separate appointment if engaged
- Documents
- Handover plan, day 7 / 30 / 90 reviews
- Team-controlled time
- Three reviews
- External time
- Buyer's operations
Refusal gate: A separate written scope; no continuation is implied by the sale
